1. Tendering Entity: Hebei Guolong Pharmaceutical Co., Ltd.

3. Tender Content: Automation System Upgrade for Lines 3 and 4 in Workshop 301 of Guolong
Shall be equipped with an Operator Training Simulator (OTS), which shall include, but not be limited to, the following: Operator skills training; operational skills assessment and certification; safety analysis and accident handling; design verification/process optimization
4. Technical requirements, specifications, and quantities are detailed in the URS; configurations that are not mentioned in the URS but are essential for the equipment’s normal operation; and related services.
5. Tendering Method:
Invitational bidding; the tendering entity conducts internal bid evaluation.
5.1 This project shall be tendered based on the construction drawings, the automated control bill of quantities, and the site survey. Bidders shall independently calculate the bill of quantities in accordance with the construction drawings, the automated control bill of quantities, and the site survey provided by the Employer. Upon submission of their bid price, bidders shall also submit a construction plan. The evaluation criteria shall comprehensively consider the bidder’s quotation, construction schedule, construction plan, technical level, staffing arrangement, and performance in similar projects, among other factors.
5.2. The quantities and unit prices listed in the Bill of Quantities for this project shall not be adjusted after the contract is signed. (The quotation shall include all costs required for construction, such as on-site temporary facilities, water and electricity, and construction safety measures. Water and electricity charges shall be paid monthly to Party A; failure to pay on time shall result in deduction from the construction deposit.)
6. Bidder Qualifications:
Entities must possess independent legal personality and either manufacturing capabilities or supply capabilities within China. For explosion-proof electronic products covered by the tender scope, a certificate of conformity for explosion-proof products must be provided, and such certificates must be verifiable through the websites or telephone inquiries of recognized institutions, including the National Center for Supervision and Inspection of Explosion-Proof Electrical Products, the Petroleum and Chemical Industry Electrical Products Explosion-Proof Quality Supervision and Inspection Center, the National Instrument and Meter Explosion-Proof Safety Supervision and Inspection Station, the Mechanical Industry Low-Voltage Explosion-Proof Electrical Appliance Product Quality Inspection Center, and the Mechanical Industry Explosion-Proof Electrical Equipment Quality Supervision and Inspection Center. In addition, the manufacture of equipment covered by the tender scope must be accompanied by a Special Equipment Manufacturing License of the People’s Republic of China, specifically the D1 and D2 class manufacturing qualification for pressure vessels.
7. Bid Price:
The quotation shall be denominated in Chinese yuan; if the sum of the unit prices differs from the total price, the total price shall be adjusted based on the unit prices. If the tenderer adjusts the quantity of equipment to be ordered as required, the total contract amount shall be determined based on the winning bid unit prices. For any functions or configurations listed under the “Required” column in the URS attached to the tender documents that are not fully compliant, separate clarification shall be provided. Payment for the works shall be settled on an actual-cost basis according to the quantities delivered and installed.
8. Validity Period of the Bid Document:
Should be no less than 90 days.

Return of Bid Bonds: The bid bond (principal amount) of the successful bidder shall be converted into a performance bond upon the effective date of the contract; the bid bonds (principal amounts) of unsuccessful bidders shall be refunded within 10 days after the tenderer has determined the successful bidder.
The bid bond is one of the constituent parts of the bidding documents; failure to submit the bid bond as required shall be deemed a non-response to the tender documents. In any of the following circumstances, the bid bond shall not be refunded:
A. The bidder withdraws its tender document within the prescribed tender validity period.
B. The successful bidder fails to enter into a contract with the tendering entity.
C. Bidder’s breach of contract.
D. Abandoning the bid after winning the contract.
12. Delivery Period:
The delivery period shall commence upon receipt of the Notice of Award.
13. Key Contract Terms:
Upon execution of the Contract, no advance payment shall be made. Upon arrival of the main materials, Party A shall pay Party B 30% of the total Contract price. Upon completion of the Works and passing of Party A’s acceptance inspection, Party A shall pay Party B 60% of the total Contract price. The remaining 10% shall be held as a retention fund and paid in full upon expiration of the warranty period, provided that no quality issues are found with the system. At the time of the second payment, Party B shall issue a special value-added tax invoice for the full Contract amount, at a tax rate of 13%.
Warranty Period: Twelve (12) months from the date of successful on-site acceptance.
Invoice Delivery: Payment shall be made upon receipt by Party B of a VAT invoice in an amount equal to the payment, prior to each payment.
Default Provisions: If the delivery of the equipment is delayed by one day due to reasons attributable to the Supplier, the Supplier shall pay the Buyer a liquidated damages equal to 0.1% of the total contract price for each day of delay. If the delay exceeds 15 days, the Buyer shall have the right to terminate the contract (except in cases of force majeure). In such event, in addition to refunding all payments already made, the Supplier shall also pay the Buyer liquidated damages equal to 30% of the total contract price.

14. Clarification, amendment, or supplement to the tender documents:
Bidders shall carefully review the tender documents and, if they have any questions, shall submit requests for clarification to the tenderer prior to the prescribed bid submission deadline; any clarifications, amendments, or supplements shall be deemed part of the tender documents.

16. Supplementary Note: Bidders shall arrive at the bidding venue on time; otherwise, they shall be deemed to have voluntarily withdrawn from the bid. Bidders shall not, in any form, offer bribes to any relevant personnel of the tendering entity; upon verification, their bidding qualification shall be revoked.
