I. Instructions for Bidding

1. Tendering Entity: Hebei Guolong Pharmaceutical Co., Ltd.

2. Project Address: Hebei Guolong Pharmaceutical Co., Ltd. Plant Area, Shijiazhuang Economic and Technological Development Zone, Hebei Province

3. Tender Scope: Upgrade and Reconstruction Project for the Exhaust Gas Treatment Facilities on Production Line 4 of Hebei Guolong Pharmaceutical Co., Ltd.

4. Scope of Tender: Equipment required for the upgrade and renovation project of the exhaust gas treatment facilities; detailed quantities, specifications, and technical requirements are set forth in the Technical Requirements. Any configurations not mentioned in the Technical Requirements but essential for the normal operation of the equipment, as well as related services, are also included.

5. Tendering Method: Invitational Tendering; internal deliberation and decision-making by the tendering entity.

6. Bidder Qualifications: Bidders shall be independent legal entities; Chinese enterprises with manufacturing or supply capabilities, as well as wholly foreign-owned or Sino-foreign joint venture enterprises registered in China. For explosion-proof electronic products covered by the scope of this tender, bidders must provide valid explosion-proof product certification and verify such certification through official websites or telephone inquiries with recognized authorities, including the National Center for Supervision and Inspection of Explosion-Proof Electrical Products, the Petroleum and Chemical Industry Electrical Products Explosion-Proof Quality Supervision and Inspection Center, the National Instrument and Meter Explosion-Proof Safety Supervision and Inspection Station, the Mechanical Industry Low-Voltage Explosion-Proof Electrical Appliance Product Quality Inspection Center, and the Mechanical Industry Explosion-Proof Electrical Equipment Quality Supervision and Inspection Center.

7. Bid Pricing: The currency for bid quotations shall be Chinese Renminbi; the quoted price shall be the ex-factory price at the purchaser’s facility. The bid quotation shall include all costs required during the bidding process and contract performance, such as travel expenses, equipment transportation, installation, commissioning, taxes, insurance, documentation, training, Factory Acceptance Test (FAT), Site Acceptance Test (SAT), and other related expenses. The unit price of each item and the total bid price shall be reported separately; if the sum of the unit prices differs from the total bid price, the total bid price shall be adjusted based on the unit prices. Should the procuring entity adjust the quantity of equipment to be ordered as necessary, the total contract amount shall be determined based on the winning bid unit prices.

8. Validity period of the tender documents: shall be no less than 90 days.

9. Number of tender document submissions: a total of seven copies, including two original copies, four duplicate copies, and one electronic version.

Return of Bid Bonds: The bid bond (principal) of the successful bidder shall be converted into a performance bond and refunded upon the first payment of project funds; the bid bonds (principal) of unsuccessful bidders shall be refunded in the calendar month following the date on which the tenderer determines the successful bidder.

The bid bond is one of the constituent parts of the bidding documents; failure to submit the bid bond as required shall be deemed a non-response to the tender documents. In any of the following circumstances, the bid bond shall not be refunded:

A. The bidder withdraws its bidding document within the prescribed bid validity period.

B. The successful bidder fails to enter into a contract with the tendering entity.

C. Bidder’s breach of contract.

12. Delivery Period: The delivery period shall commence on the day following the date of contract execution.

13. Principal Contract Terms:

A. 30% payable in advance; 30% payable prior to shipment of all equipment; 30% payable upon completion of the project, commissioning, and successful acceptance inspection; 10% payable two years after successful completion and acceptance inspection, provided that the system has been operating stably for two consecutive years; warranty period: two years.

B. Warranty Period: Twenty-four months from the date of successful on-site acceptance.

C. Invoice Delivery: An invoice for the exact amount shall be issued in accordance with the payment stage. Upon issuance of the invoice by the Supplier, the Buyer shall make payment based on the invoice amount. When 90% of the contract value has been paid, Party B shall provide a full-amount invoice for the entire contract.

D. Default Provisions: If the delivery of the equipment is delayed by one day due to reasons attributable to the Supplier, the Supplier shall pay the Buyer a liquidated damages equal to 0.1% of the total contract price for each day of delay. If the delay exceeds 15 days, the Buyer shall be entitled to terminate the contract (except in cases of force majeure). In addition to refunding all payments already made, the Supplier shall also pay the Buyer liquidated damages equal to 30% of the total contract price.

E. Payment Method: Acceptance Bill

14. Clarification, Modification, or Supplement to the Tender Documents: Bidders shall carefully review the tender documents and, if they have any questions, shall submit a request for clarification to the Tenderee prior to the prescribed bid submission deadline; any clarification, modification, or supplement shall be deemed an integral part of the tender documents.

15. Bid opening time, location, and requirements:

Bid opening time: 2:00 PM on July 3, 2025.

Attendees: Bidders shall dispatch technical personnel to attend the tendering meeting.

16. Bidders shall arrive at the bidding venue on time; otherwise, they shall be deemed to have voluntarily withdrawn their bids.

17. Bidders shall not, in any form, offer bribes to any relevant personnel of the tendering entity; upon verification, their bidding qualification shall be revoked.
